Terms and conditions
Last updated: 20 October 2026 · version 2026-10-20
This is a translation of the Spanish original. Sellers accept the Spanish version in their dashboard.
These terms govern the use of Werop (werop.com), a European marketplace for independent fashion, based in Spain, that puts brands, designers and shops («sellers») in touch with people who buy («shoppers»). By creating an account, opening a shop or placing an order you accept these terms and our privacy policy. The parts that only affect shoppers or only affect sellers say so in their title.
Service status. Werop is in the stage before opening to the public. Shop registration is already available; the catalogue and purchases will be activated when we announce the opening. Until then, the sections on purchases, payments and shipping describe how the service will work.
1. Who we are
Werop · www.werop.com
Owner: Javier Eliseo Población Fernández · NIF (Spanish tax ID) 45.095.506G
Address: Isaac Albéniz 15, 28690 Brunete (Madrid), Spain
Owner's email: epoblacion@werop.com
General contact and support for shoppers and shops: hola@werop.com
Based in: Spain.
Scope of the service: shops established in Spain, France, Germany, Italy, the Netherlands, Belgium and Austria; shoppers in those seven countries and in Portugal, Luxembourg and Ireland. Werop opens buying in each country progressively, as there are shops selling there, and the website shows in which countries it is open.
Single point of contact. For users, the authorities of the Member States, the European Commission and the market surveillance authorities (Regulation (EU) 2022/2065 on digital services and Regulation (EU) 2023/988 on general product safety), Werop's point of contact is hola@werop.com. We answer in Spanish and in English.
Only sellers established in one of those seven countries can open a shop, and orders are only shipped to addresses located in them, in Portugal, in Luxembourg or in Ireland. The catalogue is shared: from any of those ten countries you can buy from the shops of all of them, so a purchase can be domestic (shop and shopper in the same country) or cross-border (shop and shopper in different countries within the scope).
2. What Werop is and what it is not
Werop is an intermediary platform (an «online marketplace»). Each purchase is a contract between the shopper and the seller of the shop concerned: the seller is the one who sells the product, ships it, issues the invoice and is liable for it under consumer law. Werop provides the infrastructure (catalogue, basket, payment, tracking, notifications and the shipping label service) and charges the seller a commission on each sale.
All shops on Werop are professional sellers (companies or self-employed people registered in their country): private individuals are not accepted. That is why, when buying on Werop, a shopper acting as a consumer always has the rights the law grants to consumers against the shop. The page of each garment identifies the shop that sells it, with its legal name, its tax identifier and its address.
Werop does not manufacture, store or sell products, and is not a party to the sales contract. We review each shop before approving it and take reasonable steps to have incidents resolved, but we do not guarantee the outcome of each transaction. Payment is processed by Stripe, an electronic money institution authorised in the European Union. Werop never holds shoppers' funds, under any circumstances: Stripe holds them until they reach the shop, as explained in section 6.6.
3. User accounts
- To buy or sell you need an account, which is created by signing in with Google, with Apple or with your email and a password. You must be over 18 and have the legal capacity to enter into contracts.
- Each person may have only one shopper account, and each seller only one shop (with its team, if it invites them from the dashboard). Creating accounts to get around a suspension is not allowed.
- You are responsible for the activity carried out with your account, for keeping access to the email you sign in with and for keeping your password safe if you use one. Let us know as soon as you suspect unauthorised use.
- We may suspend or close an account that breaches these terms, uses the platform fraudulently or harms other users, giving notice when it is reasonable to do so. Shops also have the safeguards in section 6.14.
- You can ask for your account to be deleted by writing to hola@werop.com; see the privacy policy. We will keep the data the law requires us to keep (for example, tax or order data) for the period it requires.
4. Terms of purchase
This section applies to anyone who buys on Werop.
4.1 How an order is placed
- You add garments to the basket. You can change quantities or sizes, or remove garments, at any time before paying.
- At checkout you choose or add a delivery address and, before confirming, you see the full summary: the shop that sells each garment, the total price including taxes, the shipping costs, the estimated delivery time, the return conditions and these terms. There you can correct any detail.
- When you press «Pay by card» you place an order with an obligation to pay, on Stripe's secure page.
- You receive by email the order confirmation with all the pre-contractual information and the withdrawal form. The contract is filed and you can consult it in My orders.
- Availability confirmation: shops also sell in their physical shop, so when you pay, the amount is held on your card, but not charged. Each shop confirms within a maximum of 48 hours that it has the garments; the sales contract is concluded with that confirmation and only then is the charge made, and only for the confirmed garments. If the shop does not have a garment or does not reply in time, that part of the order is cancelled and the hold is released at no cost (depending on your bank, it may take a few days to disappear from your statement). The estimated delivery time counts from the confirmation.
- Obvious pricing errors: if a garment appears by mistake with a manifestly wrong price (for example, a coat at €1), the shop may decline to confirm it within that 48-hour period; in that case you are not charged anything for it.
- If your basket includes garments from several shops, you pay once and one order is created for each shop; each one is confirmed, shipped and handled separately.
- You can contract in any of the languages of the website. These terms are published in the official languages of the countries in which Werop is open (section 14).
4.2 Prices and payment
- Prices are shown in euros including taxes. If a garment is reduced, the previous price shown crossed out is the lowest it had on Werop in the 30 days before the reduction.
- Payment is made by card through Stripe, with the strong authentication your bank requires. Werop does not see or store your card details.
- A shop's coupons only apply to its garments, under the conditions it states (minimum amount, expiry date, number of uses).
4.3 Shipping and delivery
- Shipping costs: they are calculated as follows:
- One payment, several parcels: each shop sends you its own parcel, but you pay for shipping only once, together with the garments.
- By distance: the rate depends on the zone, that is, on the shop's country and the delivery country. For example, with the rates in force on 19 October 2026 and from a shop in Spain, the first parcel costs €4.95 within Spain, €5.95 to Portugal, €9.95 to France, Germany, Austria or Luxembourg, €11.95 to Italy, Belgium or the Netherlands and €14.95 to Ireland.
- First parcel and the following ones: the parcel from the shop in the most expensive zone (the furthest away, not the first one you add to the basket) pays the full first-parcel rate, and the parcel from each additional shop pays a reduced rate (within the same country, €2.95 instead of €4.95).
- Minimum for the reduced rate: the parcel from each additional shop only pays the reduced rate if you buy at least €25 from that shop (after deducting coupons). If you buy less, its parcel pays the full rate, as if it were the first. For example, if you buy from two shops in Spain and spend €30 at the second, its parcel pays €2.95; if you only spend €15 there, it pays €4.95. The basket tells you how much you are short of the minimum.
- Same parcel: several garments from the same shop go in a single parcel and do not increase the shipping cost. If a shop offers free shipping and your purchase reaches its threshold, its parcel costs you nothing.
- Limits: the rates apply to parcels of up to 2 kg; if it weighs more, the difference is paid by the shop, not by you. The rates in force are published in Shipping costs and the basket shows you the exact amount before you pay, which is the amount charged. We only ship to addresses in the countries within the scope of the service, and each shop may limit the countries it sells to.
- Delivery to a pickup point: when Werop offers it in your country, you will be able to choose at checkout to have the order delivered to a pickup point or a carrier locker instead of your home, at the same price and with the same delivery time. Before you pay we check that each shop's parcel can reach that point and, if any cannot, we tell you. At some points (for example, DHL Packstation lockers) we will also ask for your customer number with the carrier. The period for collecting the parcel is set by the point; if you do not collect it, it goes back to the shop.
- Delivery times: before paying you see the estimated delivery of each order, which adds the preparation time declared by the shop and the transit time, longer for cross-border shipments. That delivery time is binding on the shop. If a shop does not declare its time, the maximum is 30 calendar days from confirmation.
- If it does not arrive on time: you can ask the shop (or us) to deliver it within a reasonable additional period; if it still does not, you can terminate the contract and we refund everything you paid. If the delivery time was essential and you said so, you can terminate it directly.
- Risk: the garment travels at the shop's risk until you, or the person you designate, receive it. If the parcel is lost or arrives damaged, the shop sends you another or refunds the amount. If you see damage when you receive it, let us know as soon as possible from My orders or at hola@werop.com, with photos if you can; you will not lose your rights by reporting it later, but it makes the claim against the carrier easier.
- You will receive notifications about the status of each order and can track the shipment from My orders.
4.4 Proper use as a shopper
- If you buy for your professional or business activity, the rights the law reserves for consumers (such as withdrawal) do not apply to you, although the shop may accept the return if it wishes.
- The following is not allowed: paying with cards or accounts you do not hold without authorisation; opening disputes or chargebacks without reason when the order was delivered as agreed; returning garments that are used, swapped or different from those received; or using returns systematically as disguised rental. In those cases we may suspend the account and provide the order information to Stripe, the bank or the authorities.
5. Cancellations, withdrawal, returns and guarantee
- Cancellation before shipping: the shop may cancel an order (for example, because it is out of stock). In that case the amount charged is refunded in full to the same payment method.
- Right of withdrawal: as a consumer you have 14 calendar days from receiving the garment (or from receiving the last one, if the order arrives in several deliveries) to withdraw from the purchase without giving any reason. You can exercise it with the «Return» button in My orders, or by sending the form below or any unequivocal statement to hola@werop.com; Werop passes it on to the shop. Garments made to measure or clearly personalised, and items sealed for hygiene reasons that have been unsealed, are excluded.
- Returning the garment: you have 14 days from when you notify your withdrawal to send it. We give you the return label in «My orders», at the cost of transport in your parcel's zone. If you withdraw when there is nothing wrong with the garment and you use that label, its cost, which is shown before you buy, is deducted from the refund. If you prefer not to use it, you send the garment by whatever means you choose to the address we give you and you bear that direct cost of return, with no deduction from the refund. If the garment arrives faulty or is not the one you ordered, the return costs you nothing: the shop pays for the label and the refund is in full. You must return it in the same condition in which you received it; you will be liable for any reduction in value resulting from handling other than what is necessary to establish its nature, characteristics and functioning.
- Refund: we refund everything you paid, including the outbound shipping (the standard delivery option), without delay and at the latest within 14 days of your notification; we may withhold it until we receive the garment or proof that you have sent it. It is paid through Stripe to the same payment method, at no cost to you.
- Legal guarantee of conformity: the shop is liable for any lack of conformity that exists at the time of delivery and becomes apparent within the legal period (in Spain and Portugal, three years from delivery; in the rest of the European Union, at least two, depending on each country's law). You can choose between repair or replacement and, if that is not possible or is not done within a reasonable time, ask for a price reduction or termination of the contract. A return for this reason costs you nothing. If the shop also offers a commercial guarantee, it will state it in writing with its conditions, and it does not limit your legal rights.
- Contacting the shop: the page of each garment and your order identify the shop (legal name, tax identifier and address). To write to it you use «Write to the shop», on each order in My orders, or «Ask the shop», on the page of each garment: Werop delivers your message to the shop, which replies from its dashboard, and we let you know by email; the conversation stays in Messages, in your account. The shop does not see your email and you do not see theirs. Werop keeps the conversation and may read it to mediate in any incident; you can also write to us at hola@werop.com.
Withdrawal form (model)
You only need to fill it in and send it if you wish to withdraw from the contract (you can also use the «Return» button in My orders):
To [name and address of the shop shown in your order, through Werop, hola@werop.com]:
I hereby give notice that I withdraw from my contract of sale of the following goods: [name of the garment and order number].
Ordered on [date] / received on [date].
Name of consumer: [name].
Address of consumer: [address].
Signature of consumer (only if this form is notified on paper).
Date: [date].
6. Terms for sellers
This section applies to anyone who opens a shop on Werop and, together with the rest of these terms, forms the contract between the shop and Werop. It must also be complied with by the team members the shop invites, for whose acts the shop is responsible. Shops accept it expressly when they register, and the version accepted and the date are recorded.
6.1 Who can sell and registration
- Opening a shop is free. The application is reviewed and the shop is activated when we approve it; we let you know by email, with the reasons if we reject it.
- Only professionals can sell: companies, self-employed people or sole traders registered for their activity in one of the countries within the scope of the service, who sell as part of their business activity. Private individuals and occasional sellers are not accepted.
- The person who registers the shop declares that they are its owner or have sufficient authority to bind it, and that the details they provide are true, complete and up to date: legal name, tax identifier of the shop's country, intra-Community VAT number if it has one, registered address, contact person, telephone, website and social media, if it has them.
- The shop must keep those details up to date from its dashboard and inform us within 15 days of any change of owner, legal form, address or beneficial owners. The bank account where the shop is paid is entered and maintained by the shop itself in Stripe; Werop does not see or store it (last point of this section).
- The shop undertakes to inform its beneficial owners, directors and the team members it invites to the dashboard that Werop will process their data to verify the shop, prevent fraud, comply with tax regulations (DAC7) and manage the team, on the terms of the corresponding section of the privacy policy.
- The shop's name and its username (which forms its public address, werop.com/@username) must not impersonate or be confusingly similar to another brand or shop.
- Stripe account: the shop gets paid through its own Stripe account, in its name and in its country. It does not have to create it on stripe.com: Werop opens it from the dashboard (My shop → Payments) as an account connected to Werop's platform (Stripe Connect), already filled in with the registration details, and the shop completes it within the dashboard itself. Stripe verifies the identity of the shop and its owners and collects and checks the bank account where it is paid, which must be in the shop's name. Werop has no access to that bank account, does not store its details and cannot dispose of the shop's money (section 6.6). While the Stripe account is not active, the shop cannot publish garments.
6.2 Verification of shops
Werop may apply verification measures to shops to prevent fraud, the sale of illegal products and breaches of international sanctions, and shops agree to cooperate with them:
- Verification: we may check the identity and existence of the shop, its public registrations, the authority of the person who registers it, its presence and reputation, its VAT number in VIES and whether it appears on sanctions lists, before approving it and during the relationship, in particular when there are changes or signs of risk.
- Beneficial owners: if the shop is a company, we may ask it to identify the natural persons who, directly or indirectly, own or control more than 25% of the capital or voting rights, or control it by other means.
- Documentation: we may request, and the shop must provide within a reasonable time (normally 10 days), documents proving its identity, its activity, the powers or authorisation of whoever acts on its behalf, its beneficial owners, the origin of the goods (purchase or manufacturing invoices, contracts with suppliers) and, where applicable, the rights to the brands it sells or the authorisation to sell them.
- Stripe verification: Stripe, as an electronic money institution, carries out its own verification of the shop and its owners, and may request additional information or limit payments and payouts under its terms. The shop must respond to those requests.
- Lawful origin: the shop guarantees that the goods it sells and the funds related to its activity have a lawful origin, and that it does not use Werop to give an appearance of legality to goods or funds of unlawful origin.
- Monitoring of transactions: we may review transactions that do not fit the normal activity of a fashion shop (unusual amounts or volumes, disproportionate prices, many purchases between the same accounts, orders that are systematically cancelled or refunded, purchases with cards of different holders for the same address) and we may ask for explanations.
- Measures: while a transaction is being clarified or if the requested documentation is not provided, we may suspend publication, cancel orders not yet shipped, ask Stripe to hold pending payouts or restrict the shop (section 6.14).
- Cooperation with the authorities: we provide the competent authorities with the information we have when the law requires it or an order so directs, and we may report to them facts that may constitute a criminal offence.
- Retention: we keep verification and transaction data for the period required by law (in particular, tax law, commercial law and the rules on reporting by platform operators).
6.3 International sanctions
- The shop declares that neither it, nor its beneficial owners, directors or representatives, nor those who control it, appear on the sanctions lists of the European Union, the United Nations, Spain or any State within the scope, nor are 50% or more owned or controlled by persons who appear on them, nor reside or are incorporated in territories subject to general European Union sanctions.
- The shop may not sell products subject to restrictions or prohibitions arising from those sanctions, or use Werop for transactions with sanctioned persons or territories.
- If any of these circumstances changes, it must report it immediately. Werop may suspend the shop without prior notice and hold payouts when the law requires it, and will apply the measures imposed by the authorities.
6.4 What can and cannot be sold
- New clothing, footwear and fashion accessories are accepted, of the shop's own brand or of the brands it sells in its shop with authorisation. They may be made-to-measure or personalised garments, provided the product page says so (they carry no right of withdrawal).
- The following are not accepted, among others:
- counterfeit products, replicas or products that infringe third parties' intellectual or industrial property rights;
- second-hand, used or refurbished clothing, and stolen products or products of unproven origin;
- products withdrawn from the market or declared dangerous, or that do not comply with safety, chemical or labelling regulations (section 6.5);
- products of protected species or made from them without the documentation required by the CITES convention and its regulations;
- gift cards, vouchers, coupons, crypto-assets, money or instruments that allow value to be transferred, and digital services or content;
- weapons, replica weapons, substances, cosmetics, medicines, food, tobacco or any product whose sale requires a licence or authorisation;
- products with hateful content, that incite violence or discrimination, or with sexually explicit content;
- products subject to international sanctions (section 6.3).
- The shop guarantees that it has the right to sell the products and to use the photographs, texts and brands it publishes (the versions of the photographs that Werop generates with artificial intelligence belong to Werop, section 7), and that it only publishes products it has or can supply within the preparation time it declares.
6.5 Product information and compliance
The shop is the trader that sells and is responsible for ensuring that each product and its page comply with the regulations applicable in the countries it sells to. In particular:
- Accurate product pages: selling price including taxes, sizes, colours, measurements and description faithful to the real product. Essential characteristics may not be omitted and photos that do not correspond to the garment may not be used.
- Previous price and promotions (in Spain, Ley 7/1996 de ordenación del comercio minorista, the retail trade act, and equivalent rules in the other countries): the crossed-out price must be the lowest applied in the 30 days before the reduction, and Werop calculates and limits it automatically. A garment may only be advertised as «on sale», «clearance» or «end of line» when the conditions the law requires for each really apply, and promotions must state their conditions and duration.
- Textile composition and footwear: the fibre composition of textile garments (Regulation (EU) 1007/2011) and the materials of the upper, lining and sole of footwear must appear on the product page before purchase; Werop does not allow publishing without that information. The physical label must comply with the regulations in the official language or languages of each country the garment is sent to. By default the shop sells only in its own country. To sell in another country within the scope it activates it from its dashboard and declares that it meets all the legal requirements of that country (labelling and language, product safety, extended producer responsibility, packaging and any other that applies) and that compliance with them is exclusively its responsibility. Werop opens buying in each country progressively (section 1), so a shop may activate a country before it is open to shoppers; its garments will be sold there from the opening. Werop shows it, for guidance only, the most common requirements of each country, without that information constituting advice or being exhaustive; for France the shop also provides its unique identifiers for extended producer responsibility for textiles and packaging, and for Germany its packaging registration number (LUCID). Werop keeps that declaration, checks that the data has the correct format and may ask for proof; the shop is solely responsible for its accuracy and for complying with the regulations of each country it sells to, and holds Werop harmless from any claims, penalties or contributions arising from its non-compliance.
- General product safety (Regulation (EU) 2023/988): only safe products may be sold. The product page must identify the manufacturer (name, postal and electronic address) and, if the manufacturer is not in the European Union, the responsible person established there; include a product identifier (reference or batch) and the necessary safety warnings or instructions, in the shopper's language. If a brand manufactures its garments, the manufacturer is the brand.
- Dangerous products and recalls: the shop must notify Werop and the authorities (in the European Union, through the Safety Business Gateway) as soon as it knows that a product may be dangerous, cooperate in withdrawals and recalls and provide traceability information. Werop will withdraw products when an authority orders it (within a maximum of two working days) or when it becomes aware that they are dangerous, and may inform the affected shoppers.
- Substances and specific requirements: products must comply with the restrictions on chemical substances (REACH Regulation: azo dyes, nickel in accessories, lead, certain perfluorinated compounds, among others) and, in children's clothing, the rules on cords and drawstrings and the other applicable safety requirements.
- Environmental and origin claims: statements such as «sustainable», «ecological», «environmentally friendly», «made in…» or «handmade» must be true, specific and provable; generic environmental claims and sustainability labels that do not come from a recognised certification scheme may not be used (Directive (EU) 2024/825). Werop may ask for proof and remove the claim.
- Guarantees: the shop is liable to the shopper for the legal guarantee of conformity. If it offers an additional commercial guarantee, it must provide it in writing with its content, duration and conditions.
6.6 Commission, payments and settlement
- Werop charges a commission of 12% plus VAT on the price of the garments in each paid order, after the shop's discounts have been applied; shipping costs do not carry commission. There are no monthly fees or listing fees. The commission applicable to an order is the one in force when it is created.
- Contribution to shipping costs: Werop passes on the cost of transport without a margin (and contracts the transport itself). The shopper pays a public rate according to the shipping zone (shop's country and delivery country) and the seller contributes the difference between what comes in from that rate excluding VAT and the zone's reference cost (on a domestic shipment, €0.26). In a purchase from several shops, the contributions for all the parcels are added up and divided equally among them. If the parcel weighs more than 2 kg, the difference in cost charged by the carrier is borne by the seller. The contribution to shipping costs carries the same VAT as the commission (21% or, for shops in another European Union country with a VAT number verified in VIES, no VAT under the reverse charge; see the next point). Its amount is set for each order when it is created and is deducted in that order's settlement. If the shop chooses in its dashboard to have the carrier collect the parcels from its address (when the dashboard offers this option) instead of taking them to a point itself, it also pays a collection surcharge: what the label with collection costs above the zone's reference cost, never a negative amount. If the parcel weighs more than 2 kg it is not charged separately, because the shop already pays that difference. The surcharge is set when the label is created and is deducted in the order's settlement. The zones, reference costs and rates in force are published in Shipping costs for shops.
- The VAT on the commission is the Spanish standard rate (21%), because Werop provides the service from Spain. If the shop is in another European Union country and its intra-Community VAT number appears as valid in VIES, the commission is invoiced without VAT under the reverse charge, and it is the shop that declares it in its country. The rate applied and its amount are set for each order when it is created and are shown in the shop's dashboard. Werop issues the shop an invoice for the commission and for its contribution to shipping costs.
- Collection on behalf of the shop: the shop authorises Werop to receive, through Stripe, payment for its sales on its behalf. The shopper's payment to Werop discharges the shopper's obligation to the shop. Werop cannot dispose of those amounts and does not transfer them: it only instructs Stripe to transfer them to the shop, with the deductions provided for in these terms.
- How the money arrives: when a payment corresponds to a single shop with its Stripe account active, Stripe pays it directly into that account with the commission, the contribution and their taxes already deducted, and transfers it to the shop's bank on its schedule. When a single payment includes orders from several shops, or the shop's account is not yet active, the payment arrives in Werop's Stripe account and Stripe transfers to each shop's account its share, with the same deductions, as soon as the order is charged (or, if its account was not yet active, as soon as it is). Werop never pays shops outside Stripe.
- When connecting its Stripe account, the shop also accepts Stripe's terms for connected accounts. Werop is not responsible for Stripe's timescales, blocks or decisions.
- If an order is cancelled or returned, the refund to the shopper is deducted from the shop's amount; a refunded sale pays neither commission nor contribution. In the case of a withdrawal, the shop bears the cost of the outbound shipping (section 6.9).
6.7 Disputes, chargebacks, set-off and balances
- If a shopper opens a dispute or a chargeback with their bank for an order from the shop, Werop defends it before Stripe with the order information, and the shop must provide, within the time we indicate, any evidence it has (shipping, delivery, communications).
- If the dispute is lost for a reason attributable to the shop (order not shipped or without proof of delivery, non-conforming garment, return not refunded, failure to respond), the shop bears the amount claimed and the fee Stripe charges for the dispute. If it is lost because of card fraud on an order that the shop sent with Werop's label to the order address and with proof of delivery, Werop bears it.
- Werop may set off any amount the shop owes it (refunds, disputes, contribution, return labels, weight surcharges) against the payouts pending to the shop. If there are not enough pending payouts, the shop must pay the balance within 15 days of our notifying it; Werop may also claim it through Stripe from the shop's account.
- When a shop has an abnormally high rate of disputes, cancellations or returns due to lack of conformity, or the circumstances in section 6.2 arise, Werop may ask Stripe to delay or hold its payouts for a reasonable time to cover the risks, not exceeding 120 days from the last order.
6.8 Taxation, invoicing and information reporting (DAC7)
- Each shop is responsible for its tax obligations: issuing an invoice to the shopper when required, declaring and paying the VAT on its sales (including, if they exceed the European Union threshold for distance sales, sales to consumers in other countries, under the One-Stop Shop (OSS) scheme if it uses it) and declaring its income. Werop does not act as supplier or as the taxable person for the shop's sales.
- Price including VAT and VAT on sales: the price the shop sets for each garment is the final price for the shopper, including VAT, and it is the same for shoppers from any country. The VAT it contains depends on where the order is delivered and on how the shop is taxed: on sales within its country, that of its country; on sales to other European Union countries, that of its country or that of the shopper's country if it is taxed at destination (One-Stop Shop (OSS) or on exceeding the distance sales threshold). The shop states in its dashboard (My shop → Payments) which scheme applies and is responsible for it being correct. Werop does not withhold the VAT on sales: the shop receives the amount charged with the deductions in section 6.6 and declares it. For guidance only, Werop calculates in each order the VAT included in the sale with the rate in force when it is created (including the rates for children's clothing and footwear in the countries that have them) and shows it in the order's settlement and in Earnings; that calculation does not replace the shop's invoice or tax return. Werop does not deliver to the Canary Islands, Ceuta, Melilla, Madeira or the Azores, nor does it accept shops established there, because they have a different tax regime.
- Werop is a platform operator for the purposes of Directive (EU) 2021/514 (DAC7) and its Spanish implementing rules (Ley 13/2023 and Real Decreto 117/2024), and must collect, verify and report each year to the Spanish Tax Agency (Agencia Tributaria) the information on shops that exceed the legal thresholds (30 sales or €2,000 in the year): name or legal name, address, tax identifier and VAT number, commercial registry number, date of birth in the case of natural persons, amounts received per quarter and commissions withheld. Werop does not ask for or store the shop's bank account: Stripe collects and verifies it, and it would only be reported if it were available to Werop, as the rules provide. The Tax Agency may exchange that information with the administrations of the other European Union States.
- The shop must provide that information when requested and confirm its tax details (tax identifier and address) when the dashboard asks it to: at least once every three years, or earlier if there are indications that they are not correct. If it does not do so after the initial request and two reminders, and at least 60 days have passed, Werop must hold the shop's payouts until it provides them or close the shop and prevent it from registering again, as the law requires.
- Werop keeps the information on transactions for the period required by tax regulations. The shop can see in its dashboard (Earnings) its sales, commissions and the data that will be reported.
6.9 Orders, shipping and customer service
- The shop confirms in its dashboard, within a maximum of 48 hours, whether it has the garments in each order; if it does not respond, the order is cancelled without charge. It must keep its stock up to date; every week the dashboard asks it to confirm that its catalogue is still available.
- The shop prepares and ships each order within the time it declares. Shipping is done with the label Werop generates from the dashboard (the shop enters the weight and hands the parcel in at a carrier point or, if it chooses so in its dashboard, the carrier collects it from its address, with the surcharge in section 6.6); only shops that can ship with the carriers that service offers in their country are accepted. The parcel must be suitably packed so that it arrives in good condition.
- Messages from shoppers: the shop deals from its dashboard (Messages) with what shoppers write to it with «Write to the shop», diligently and within a reasonable time (as a reference, within 2 working days). It does not ask for or give contact details to continue the conversation outside Werop, which keeps it in order to be able to mediate.
- The shop deals with incidents in its orders (delays, breakages, wrong sizes) and handles exchanges and returns in accordance with the law. Werop provides the shopper with the return label at the zone's cost; if the garment arrives faulty or is not the one ordered, that cost is borne by the shop and deducted from its settlement. If the shopper withdraws when there is nothing wrong with the garment, the shop bears the cost of the outbound shipping (the zone's reference cost), because the law requires it to be refunded to the shopper.
- The shop must mark the return as received and refund the shopper within the legal period (14 days from when the shopper notified the withdrawal). If it does not, Werop may refund on its behalf and deduct it from its settlement.
- Discount coupons created by a shop only apply to that shop's products and are at its expense.
- A shop may offer free shipping above a certain amount, with one amount for orders delivered within its own country and another, if it wishes, for orders to the other Werop countries. When an order reaches that amount, the shopper is not charged the rate for that parcel and the shop pays that same rate plus its contribution, which are deducted in that order's settlement.
- Packaging: the shop is responsible for the extended producer responsibility obligations that apply to it for the packaging it places on the market (in Spain, Real Decreto 1055/2022) and, when they come into force, for textile products.
6.10 Same price as on your website and in your physical shop
- The selling price of each garment on Werop must be the same as the price the seller applies to that same garment on its own website and in its physical shop, including taxes and excluding shipping costs.
- Why: people who buy on Werop must be able to trust that they do not pay more than when buying directly from the brand, and the price on Werop may not be used to pass the commission on to the shopper.
- If you reduce a garment on your website or in your physical shop (sales, campaigns, seasonal promotions), apply the same reduction on Werop for as long as it lasts, with the previous price crossed out or with a coupon from your shop. Personal discounts for specific customers (loyalty programmes, individual coupons) and flawed or sample pieces sold as such do not count.
- Werop may check the public prices on your website and in your physical shop. If we detect a difference, we will notify you in writing stating the garment and the reason, and you will have 7 days to correct it or explain to us why it is not a breach; in the meantime we may take the affected garments off sale.
- If the difference is not corrected, or the breach is repeated, Werop reserves the right to close the shop. We will notify you of the decision and its reasons 30 days in advance, except for repeated breaches, in which case the closure may be immediate. You can file a complaint about any of these decisions by writing to hola@werop.com.
6.11 Shoppers' data
- To fulfil each order the shop receives the shopper's name, delivery address and, if given, telephone number. With regard to that data, the shop is a data controller in its own right and must comply with the General Data Protection Regulation.
- It may only use it to prepare, ship and handle that order (including the guarantee and returns) and to comply with its legal obligations. It may not use it to send advertising without the shopper's consent, pass it on to third parties or keep it longer than necessary, and it must protect it with appropriate security measures.
- The shop must notify Werop without delay if it suffers a security breach affecting data of Werop shoppers.
6.12 Prohibited practices
- Diverting sales away from Werop: suggesting to a shopper met on Werop that they complete the purchase outside the platform, or including contact details or links for that purpose on product pages, in parcels or in messages. This does not prevent including the brand's card in the parcel or the shopper getting to know the brand.
- Manipulating sales or ratings: buying its own products, placing orders with linked accounts, simulating sales, publishing or requesting fake ratings, offering something in return for ratings, or rating competitors.
- Manipulating the catalogue: duplicating garments, publishing products it does not have, using misleading keywords or categories, or altering prices to appear in other positions.
- Using Werop to move money without a real sale of a product, splitting transactions to get around controls, or collecting by means other than the platform for orders placed on it.
- Accessing the platform by unauthorised automated means, interfering with its operation or with the security of other users, or treating shoppers or the Werop team in an offensive or discriminatory way.
6.13 How products are ranked, differentiated treatment and access to data
- Catalogue order (Regulation (EU) 2019/1150, Art. 5): by default, garments are shown from newest to oldest by publication date. The shopper can sort them by price or by discount and filter them by type of garment, section, size, colour, type of seller and country. Text search shows the garments whose name or description contains the words searched for, from newest to oldest; image search, those that are most visually similar. On each shop's page, the order chosen by the shop prevails (featured items and collections). No shop can pay to appear higher, and the commission is the same for all. This explanation is linked from the catalogue and search («How we rank items»).
- Editorial home page: Werop's home page shows compositions made with looks from the shops that expressly authorise it for each look. They are chosen in rotation: first the looks that have never appeared, without repeating a shop while there are others. There is no payment to appear.
- Differentiated treatment: Werop does not sell its own products or give any shop conditions different from those in these terms. If in the future it offered differentiated treatment (for example, to founding shops), it will describe it here in advance.
- Access to data (Art. 9): in its dashboard the shop has access to the data of its orders and of its shoppers needed to fulfil them, to its figures for sales, payouts and settlements, to the ratings of its orders and to the visit statistics of its shop and its garments. Werop keeps the platform's aggregated data and the rating the shopper gives Werop, which are not shared with shops. Werop does not share one shop's data with other shops.
6.14 Restriction, suspension and termination of a shop
Werop may restrict, suspend or terminate a shop, in proportion to the seriousness of the case, for these reasons:
- false, incomplete or out-of-date details, or failure to provide the documentation requested under sections 6.1, 6.2 and 6.8;
- indications of fraud or unlawful activity (for example, selling goods of unlawful origin), or any of the circumstances in section 6.3;
- selling products that are not allowed or that do not comply with the regulations (sections 6.4 and 6.5), or receiving well-founded notices of illegal content;
- serious or repeated breaches towards shoppers: orders not shipped, delivery times not met, returns not refunded, an abnormal rate of disputes or lack of conformity;
- the prohibited practices in section 6.12 or breaching the same price clause;
- an order from an authority, or the loss of the Stripe account;
- any other serious breach of these terms.
- Possible measures: removing one or more garments, pausing the publication of new ones, holding payouts on the terms of sections 6.7 and 6.8, temporarily suspending the shop or terminating it.
- Statement of reasons: we will notify the shop in writing of the decision and its reasons, with the specific facts and the rule on which it is based, at the latest when the restriction or suspension takes effect.
- Notice of termination: final termination is notified 30 days in advance, except when the law obliges us to act immediately, when there are indications of fraud or unlawful activity or the circumstances in section 6.3 arise, or in the case of serious and repeated breaches; in those cases it may be immediate.
- Complaint: the shop may ask us to review the decision by writing to hola@werop.com, providing whatever it considers appropriate; it will be reviewed by a person other than the one who decided. If the shop corrects the cause, we may lift the measure.
- Effects: orders already confirmed must be fulfilled or, if that is not possible, refunded. Pending payouts are settled once the amounts payable by the shop have been deducted and the dispute period in section 6.7 has elapsed, unless the law requires them to be held.
6.15 Voluntary termination
- The shop may leave whenever it wishes by writing to hola@werop.com, at no cost. Its garments stop being published at that moment.
- It must fulfil or refund confirmed orders and handle returns and guarantees for sales made on Werop. Werop settles what is pending on the terms of the previous section and keeps the data the law requires it to keep.
6.16 Shop liability and indemnity
- The shop is liable for its products, its product pages and its legal obligations, and will hold Werop harmless against claims, penalties, damages and reasonable costs (including defence costs) arising from a breach on its part: unsafe, counterfeit or non-conforming products, misleading information, infringement of third-party rights, tax or data protection obligations, or false statements at registration.
- Towards shops, which act as professionals, Werop is only liable for wilful misconduct or gross negligence and, in other cases and to the extent permitted by law, up to the amount of the commissions the shop has paid in the twelve months before the event. Werop is not liable for loss of profit or indirect damage.
7. Content, images and artificial intelligence
- The shop keeps the rights to its images and texts, and grants Werop a free, non-exclusive licence to display them, adapt them to the platform's format and use them on it, in the Chulair virtual fitting room and in marketplace communications (for example, social media or press materials) while the shop is active and for a reasonable period afterwards to remove them.
- Werop processes product photographs with artificial intelligence so that they all have the same proportions, the same framing and a white background, and on the platform it shows those unified versions; the original photograph is only shown when it already meets that format or is a close-up of the fabric. It also extracts attributes of the garment (type, colour, material) with artificial intelligence. The shop can review and correct the result in its dashboard.
- Werop may also offer text drafts generated with artificial intelligence (for example, the description of a garment). They are proposals: they are not published on their own, the shop reviews them and the shop is responsible for the accuracy of what it publishes —especially composition, measurements, sizing, origin and care, which AI cannot know from a photograph—.
- Images generated with artificial intelligence. All images that Werop generates with artificial intelligence —the unified versions of product photos, the home page compositions based on the shops' looks and any other image created by the platform— are the exclusive property of Werop (werop.com), to the extent that the law recognises rights over them, and in any case only Werop may decide on their use. The shop keeps in full the rights to its original photographs. The shop may not download, reproduce, publish outside Werop or transfer to third parties the images generated by Werop without express written authorisation; it may link to its shop and its product pages on Werop. Images generated with artificial intelligence are identified as such.
- How this processing works and what data it involves is detailed in the privacy policy.
- Publishing content that is illegal, offensive or infringes third-party rights is not allowed. Werop does not review in advance everything that is published, but acts when it becomes aware of illegal content.
Notices of illegal content and moderation
Anyone, with or without an account, can notify us of a garment or a shop they consider illegal or contrary to these terms using the «Report» link at the bottom of each product page and each shop, or by writing to hola@werop.com. The notice must explain the reason and identify the person sending it.
- We send an acknowledgement of receipt and each notice is reviewed by a person on our team; we do not make these decisions by automated means. We may use automated tools to detect risks (for example, unusual transactions), but the decision to remove content or restrict a shop is always made by a person.
- We notify the decision to whoever sent the notice. If we remove a garment, we send the shop a statement of reasons; the garment is no longer published and cannot be published again while the removal lasts. The rest of its shop is not affected except in the cases in section 6.14.
- Both the person who sent the notice and the shop can ask us to review the decision by writing to hola@werop.com; it will be done by a person other than the one who decided. All of this is without prejudice to going to court.
- Shops that repeatedly infringe intellectual or industrial property rights may be terminated.
- We may stop processing notices from anyone who sends them repeatedly and in a manifestly unfounded way.
8. Chulair virtual fitting room
Garments published on Werop may be shown in Chulair, the virtual fitting room app from the same team. The virtual try-on is an approximate simulation and does not guarantee the actual fit of the garment. If you link your Werop account with Chulair you can undo the link whenever you want from «My account».
9. Availability of the service
We work to keep Werop available continuously, but there may be interruptions for maintenance, updates or causes beyond our control. We may modify or withdraw features; if a change substantially affects shops, we will notify it with the notice period in section 13.
10. Liability
Werop is liable for providing the platform with due diligence. We are not liable for the products sold by the shops, their descriptions or the fulfilment of their obligations, without prejudice to the rights the law grants to consumers and our willingness to mediate in any incident. Nothing in these terms limits liability that cannot legally be limited, or consumers' rights.
11. Werop's intellectual property
The Werop name, its logo, the website design and the software belong to Werop, as do the images generated with artificial intelligence by the platform (section 7). You may use the material in the press kit to talk about Werop; any other use requires authorisation.
12. Communications
Communications between Werop and users are made by electronic means: to the account email, in the shop's dashboard and in My orders. Shops must regularly check their email and their dashboard. To contact Werop, write to hola@werop.com.
13. Changes to these terms
- We may update these terms. We will publish the new version on this page with its date and, if the change is relevant, we will notify registered users. Changes do not affect orders already placed.
- For shops, changes are notified in writing at least 15 days in advance (or more, if the change requires significant technical or commercial adjustments). During that period the shop may leave at no cost. That notice period does not apply when the change is imposed by law or by an authority, or is necessary to deal with an unforeseen and imminent risk of fraud, to security, or to the health or safety of consumers.
- When these terms change, the shop will see the new version in its dashboard, together with what changes compared with the previous one, and will receive an email notice to accept or reject it. If it has not decided after 7 days, we will remind it. If it still has not decided after 14 days, we will pause sales in its shop (its garments stop being on sale) until it decides, and never before the new version comes into force. On accepting it, its garments are published again.
- If the shop rejects the new version, it may continue selling under the previous one until the new one comes into force and leave at no cost. From that day its sales are paused until it accepts it. Previous versions of these terms remain published at their own address (for example, /terminos/2026-10-16.2/).
14. General provisions
- If any clause is declared void, the rest remains in force, and the void clause will be replaced by another valid one that is as similar as possible.
- Werop not requiring compliance with a clause at a given time does not mean waiving it.
- Werop is not liable for breaches due to causes beyond its reasonable control (force majeure), such as general failures of networks, the carrier or Stripe.
- Werop may assign its position in this contract to the company that, where applicable, continues the marketplace's activity, giving prior notice; shops may not assign their position without our consent.
- If these terms are published in other languages, the Spanish version prevails in case of doubt, unless another interpretation is more favourable to the consumer.
15. Applicable law and complaints
These terms are governed by Spanish law. If you are a consumer and live in another European Union country, that choice does not deprive you of the protection guaranteed to you by the mandatory consumer rules of your country of residence, also on purchases from shops in another country; and you can bring a claim before the courts of your place of residence. For any complaint you can write to us at hola@werop.com. Consumers also have at their disposal the consumer bodies of their country (in Spain, the consumer services of their autonomous community and the official complaint forms, «hojas de reclamaciones») and, for purchases from a shop in another European Union country, the European Consumer Centre of their country (in Spain, the European Consumer Centre in Spain). If a complaint is not resolved with us, you can go to the consumer services of your place of residence and, in Spain, to the Junta Arbitral de Consumo (consumer arbitration board) for your place of residence. Werop has not joined the consumer arbitration system or an alternative dispute resolution body on a general basis: we decide case by case whether we agree to submit to that procedure, and we will tell you when we reply to your complaint. If we joined, we would state it here.
Between Werop and the shops, for everything the law allows to be agreed, the courts of Werop's place of business in Spain have jurisdiction. Before going to them, the parties will try to resolve the disagreement through the complaint procedure in section 6.14.
